Facts of misuse of insider information in transactions with ordinary shares of PJSC Softline on Moscow Exchange established
Based on the findings of an investigation, the Bank of Russia has established a fact of misuse of insider information by Igor Igorevich Gromov in transactions with ordinary shares of PJSC Softline (hereinafter, the Shares, the Issuer) on Moscow Exchange (hereinafter, the Exchange) during the period from 19 June 2024 to 27 June 2024 (hereinafter, the Period).
Information on the increase in the Issuer’s authorised capital through the issue of additional ordinary shares was published on the website of Interfax’s Corporate Information Disclosure Centre on 27 June 2024 at 14.00 Moscow time. On the same day, the following press release was published on the Issuer’s website:
‘PJSC Softline announces new M&A objectives and the Board of Directors’ approval of an additional issue of shares to finance new acquisitions’ (hereinafter, the News). Following the News release, the price of the Shares decreased by 5.43%.
I.I. Gromov, who was Deputy General Director for Asset Management at the Issuer1 and LLC Alvarus Capital (the Issuer’s minority owner) at that time, took part in the preparation of materials for the meeting of the Issuer’s Board of Directors that took place on 27 June 2024. Having access to the insider information, I.I. Gromov, acting on behalf of LLC Alvarus Capital during the Period until the News release, conducted transactions to sell a large volume of the Shares and, after the News release and the price decline, bought back the previously sold volume of the Shares.
As a result of the said transactions conducted by I.I. Gromov, LLC Alvarus Capital avoided losses which would have been incurred if the Shares had been sold after the official disclosure of the information on the additional issue and the subsequent decrease in the price of the Shares.
The Bank of Russia qualifies the said actions as a violation of the ban on using insider information, established by Clause 1 of Part 1 of Article 6 of Federal Law No. 224-FZ.2
The Bank of Russia has sent a binding order to I.I. Gromov to cease and desist from similar violations in the future.
The Bank of Russia emphasises the inadmissibility of the misuse of insider information and urges issuers and other legal entities listed in Part 1 of Article 11 of Federal Law No.
