Facts of market manipulation in on-exchange trading for bonds of RIT LLC, Transbaltstroy LLC, GarantStroy LLC, UAKhM-FINANCE OOO, and PJSC Volga Kapital established

The Bank of Russia has carried out an investigation for compliance with the requirements of Federal Law No. 224-FZ, dated 27 July 2010, ‘On Countering the Misuse of Insider Information and Market Manipulation and Amending Certain Laws of the Russian Federation’ (hereinafter, the Federal Law) and established facts of market manipulation in on-exchange trading for the bonds of RIT LLC (ISIN: RU000A0JUQN2), Transbaltstroy LLC (ISIN: RU000A0JUJP2), GarantStroy LLC (ISIN RU000A0ZYJ26), UAKhM-FINANCE OOO (ISIN: RU000A0ZZ141), and PJSC Volga Kapital (ISIN RU000A0JXUU3) (hereinafter collectively, the Bonds).

The transactions qualified as manipulation in the markets for the Bonds were conducted in collusion by Privat-Archive LLC (TIN 7729760980) and Stroyinvest LLC (TIN 7716751642) over the period from 12 December 2018 to 5 March 2019 during trading at PJSC Moscow Exchange.

A considerable portion of the transactions with the Bonds conducted in the main trading mode of the exchange by Privat-Archive LLC and Stroyinvest LLC caused significant deviations in the demand, supply, price, and volume of trading in the Bonds. Moreover, such transactions were giving the impression of trading activity and liquidity in the markets for the Bonds.

On certain trading days, the percentage of the transactions conducted between the companies reached 100% of the total amount of the transactions with the Bonds.

According to the findings of the investigation, the transactions with the Bonds conducted by Privat-Archive LLC and Stroyinvest LLC qualify as market manipulation according to Clause 2 of Part 1 of Article 5 of the Federal Law.

The Bank of Russia has sent orders to Privat-Archive LLC and Stroyinvest LLC to cease and desist from similar violations in the future.
