Facts of misuse of insider information in transactions with shares on Moscow Exchange established
Based on the findings of an investigation, the Bank of Russia has established facts of misuse of insider information by Vladimir Valerievich Naumov in transactions with a number of shares (hereinafter, the Shares) on Moscow Exchange during the period from 16 January 2023 to 29 March 2024.
As Senior Trader of the Equity Trading Division of IC VELES Capital LLC (hereinafter, the Company), V.V. Naumov was the Company’s insider with access to orders of the Company’s clients and was responsible for their execution.
Having access to the insider information about the orders placed by the Company’s clients, V.V. Naumov conducted transactions through his personal brokerage account, considering clients’ trading activity. The client transactions were large enough to cause changes in the market prices for the Shares and trigger a positive mark-to-market revaluation of the positions held by V.V. Naumov.
Thus, V.V. Naumov misused information on the orders of the Company’s clients. The Bank of Russia qualifies the said actions as a violation of the ban on using insider information established by Clause 1 of Part 1 of Article 6 of Federal Law No. 224-FZ.1 The Bank of Russia has sent binding orders to V.V. Naumov to cease and desist from similar violations in the future.
The Bank of Russia emphasises the inadmissibility of the misuse of insider information when executing client orders as part of job responsibilities and urges issuers and other legal entities listed in Part 1 of Article 11 of Federal Law No.
