Bank of Russia establishes facts of securities market manipulation by group of affiliated organisations and their owners

The Bank of Russia has established facts of market manipulation during transactions in Russian corporate bonds on Moscow Exchange (hereinafter, the Exchange) executed by a group of affiliated legal entities and individuals.

Specifically, in 2025, Plant SILACH LLC (TIN 7451246377), OKTAD LLC (TIN 7451434589), SITERRA LLC (TIN 7422035068), and individuals Dmitry V. Koromyslov and Evgeny G. Komin, who collectively hold 100% of the said entities’ authorised capital, executed transactions in bonds of PJSC SIBUR Holding and PJSC Rostelecom (hereinafter, the bonds) in collusion in the main trading mode of the Exchange. This resulted in significant deviations in bond prices and trading volumes from the levels that would have been recorded without such transactions.

Moreover, D.V. Koromyslov submitted orders to conduct these transactions in both his own brokerage account and those of SITERRA LLC and OKTAD LLC, while E.G. Komin submitted orders to conduct transactions in the brokerage account of Plant SILACH LLC.

These actions are qualified as market manipulation pursuant to Clause 2, Part 1 of Article 5 of Federal Law No. 224-FZ, dated 27 July 2010, ‘On Countering the Misuse of Insider Information and Market Manipulation and Amending Certain Laws of the Russian Federation’.

Companies on whose behalf and at whose expense these transactions are executed shall be liable as legal entities that have failed to take all measures within their power to comply with the ban on market manipulation.

Therefore, company owners executing transactions in the companies’ brokerage accounts must act on behalf of these legal entities faithfully and prudently, and should avoid situations when their personal interests may conflict with those of the companies.

Plant SILACH LLC, OKTAD LLC, SITERRA LLC, D.V. Koromyslov, and E.G. Komin have been held administratively liable for market manipulation and ordered to prevent similar violations in future.

Furthermore, the Bank of Russia has sent binding orders to trading organisers and professional securities market participants to suspend transactions in the trading accounts of the said legal entities and individuals.

The regulator warns trading participants and their clients, including affiliated persons, against their involvement in coordinated activities aimed at distorting fair pricing in organised trading and conducting transactions in collusion in anonymous trading mode.
